Item 5.02    Departure of Directors; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On October 31, 2017, our Board of Directors increased the size of the Board by one director and elected Ms. Constance Freedman to fill the vacancy created by the increase in the number of directors.
Ms. Freedman, age 42, is the Founder and Managing Partner of Moderne Ventures, an early stage investment fund she founded in 2015 that is focused on technology companies in and around real estate, finance, insurance and home services. Prior to Moderne Ventures, Ms. Freedman was the Vice President of Strategic Investments for the National Association of Realtors where she launched and managed the investment fund, Second Century Ventures, and founded REach, its technology accelerator, in 2008 and 2012, respectively.
There are no arrangements or understandings between Ms. Freedman and ourselves related to her election as a director of the Board. There are no related party transactions between Ms. Freedman and ourselves and she will not initially serve on a committee of the Board.
Item 8.01    Other Events
Our Board of Directors has discussed our annual common dividend policy. After discussion, our Board approved setting the annual dividend rate for 2018 at $2.20 per common share, an increase of $0.25 over the current $1.95 per common share for 2017.
Our Board of Directors also declared the fourth quarter 2017 dividend of $0.4875 per common share, representing, on an annualized basis, a dividend of $1.95 per common share. The dividend will be paid on January 12, 2018 to stockholders of record on December 29, 2017.
